("Rangers" or the "Company")

Notice under section 338 of the Companies Act 2006

The Board of Rangers confirms that it has received a notice dated 27 September 2013 from certain minority shareholders ("Notifying Shareholders") under section 338 of the Companies Act 2006 requesting the Company to circulate certain resolutions to shareholders for inclusion in the business at the forthcoming Annual General Meeting of the Company (the "Notice"). The Notice puts forward resolutions for the appointment of Malcolm Murray, Paul Murray, Scott Murdoch and Alex Wilson as directors of the Company.

Whilst the Board has requested the Notifying Shareholders to authenticate their signatures on the Notice and their shareholdings as required under section 338 of the Companies Act 2006 in order to validate the Notice, the Board notes that the Notice has been received by certain of the minority shareholders who were involved with the Requisition, the receipt of which by the Company was announced by the Company on 2 August 2013.

The Board further notes that on 12 September 2013 the Company announced that the Requisitioners had agreed the withdrawal of the Requisition including their proposal for the appointment of directors on the condition only that the Company convened and held its Annual General Meeting no later than 31 October 2013. The Board notes that no variation or amendment to the terms of the withdrawal of the Requisition has been discussed or agreed with the Requisitioners.

The Board considers that the Notice, if authenticated, is unlikely to be properly constituted under s338 of the Companies Act 2006. Given the basis upon which the Requisitioners had agreed the withdrawal of the Requisition and as the Notifying Shareholders have not requested to discuss this prior to sending the Notice, the Board currently considers the proposed resolutions to be vexatious. The Board is also concerned that the contents of the proposed resolutions may also be either ineffective or frivolous as any director appointment must comply with the Company's articles of association and is subject to prior regulatory approval.

The Board further notes that the notice for the Annual General Meeting of the Company to be held on 24 October 2013 had in any event been sent to the Company's printers for printing on Friday 27 September 2013.

I have to admit at the start of the McColl debacle I was prepared to look on it as maybe the path to take for the security of our great Club. The reality has been anything but, their half arsed attempts to destabilise the club has filled column space in the rhags and cost the Club revenue. The protests at the weekend was a PR disaster for the group and might even have swayed attitude against them. The accounts could not have came at a worse time for them, I'm sure they had a full schedule of protests planned over the next week.

McColl seems to have removed himself from the fray. His and Murrays involvement with us over the last couple of years have certainly been a half arsed disaster. Still Murray is proposing new directors so its going to be interesting to see how they present their plan to the fans if they actually have one.

Unfortunately the protests will still continue mate. Listening to the podcast last night SOS guy made it clear it was not just about the finances ( they appeared to take the charlotte fakes as fact BTW ). They will continue to protest against the board as they deem them not to be fit and proper. For me the spokesman came across as a genuine type of guy but perhaps maybe a bit naive and gullible.

Was one of the main SoS guys not banned from Rangers a while back ? If so a bit rich protesting about being fit and proper .

SoS have about as much clout as FF . Not a lot.

I believe he was, but not the lad on last night. None of our fans groups have any clout because they're so divided and some are downright devisive.

The statement by the Board has, in my view, clearly been crafted by Rangers' solicitors. It's a long time since I've seen an accusation of 'vexatious', and even longer since I've seen it used in public. Ditto using terms such as 'frivolous'. I may be very wrong here but the statement seems tantamount to a declaration of war with the Murray camp. A 'gloves of' type of statement. It leaves no room for manouver in doing a deal with them (the door for that was open after the August Requisition attempt) but the language now being used keeps that door firmly shut. Looks like it will now be a legal battle as to the legitimacy of the latest Murray move; and possibly a media battle of accusation and counter-accusation with the sole intention of convincing enough investors of their respective cases (and perhaps competences!) before the AGM. Unless there is a pretty powerful legal rebuttal by Murray, it does on the face of it seem like their competence in trying to achieve whatever underlying or hidden objectives they have is very much in doubt. Looks like the nature of the contest is about to change gear.

That didny suit them as Mini wasn't given a ticket as well and Blin was reall only a useful idiot for Mini
