    One of the nights in Vegas is a prim and proper number and as its the convention I thought fuck it Walters tie and cardigan with brown brogues like a stauch bastard. (I'm not really dressing like Walter) just want a club tie lol

Under no circumstances will monies be returned to members, it must be dispersed in accordance with the legislation i.e. to another asset locked CIC, IPS or Charity (as nominated in the articles) or to one with a similar community objective. I'm not sure whether the secretarial work was ever done but the organisations discussed were the Rangers Charity, Erskine & the Davie Cooper Centre - god bless you Davie I can't believe it's been 22 years since you left us.

    It's open to interpretation to be honest, the use of CIC money has to directly benefit the community but not necessarily in tangible form, the mental health of the community (us) is just as relevant as owning a part of the stadium. The community benefit outcome is what will be questioned by the Regulator and needs to be quite clear before any funds change hands.

    Yes a CIC can cease being a CIC, the members of Club 1872 are also the members of the share owning CIC and the projects CIC, or I believe that is the the intention. This might change once properly constituted so that the membership of each reflects how each member wants to allocate his/her  donation.

    It would be a complicated process with the members either becoming shareholders or relinquishing their membership. The community assets in the asset lock would have to either be transferred (sold) to the shareholders for full value and the funds dispersed in accordance with the legislation. Alternatively pre cessation the assets can be transferred elsewhere in accordance with legislation. Consent would have to be sought from the CIC regulator.

I can't help but think joining Club1872 has damaged that success and allowed them to be manipulated. I also think the vote to merge was rushed.

    The members of Rangers First 2014 CIC transferred, by consensus, their memberships into Club1872 Ltd, the RST members did the same. That can only be reversed by all the members of Club1872 consenting to a reversal, but that's in theory because until the constitution is written the members of Club1872 are the shareholders. Rangers First 2014 CIC has been renamed as Club 1872 Share Ownership CIC.

    The constitution hasn't been written yet, Club1872 operates under standard articles (see minutes of January meeting).

    I disagree CB, first on the agenda has to be the writing of a constitution that any new board member can rely on, we have to end the cycle of the only solution to dispute among the members' board being resignation. Second would be a Code of Conduct for directors.

    Then we can progress to elections, maybe with that in place the good people representing us we have lost will return.

    I didn't read anything suggesting they'd resigned their membership so no reason why they cannot attend.

  10. The most important thing that can happen now is for the constitution of the organisation to be finished. It might have protected the position of those directors who felt that there own integrity was being compromised either by certain actions or by the lack of action. A baulk standard community constitution will clearly define what serving directors can and cannot do and require serving directors to authorise a conflict of interest.

    In this instance the director seeking employment with the Club would have been considered conflicted and not permitted to vote, that would then have been a 3-3 tie forcing it to go to the members.

    Without a constitution that the members can rely on it is difficult to see how Club1872 can progress.

  11. I suspect the conversation on Monday went along the lines of 'you want rid of my clients and they want to move on, if you waive your right to compensation then they will resign' to which our directors responded 'we will waive our right to compensation.'

    Burning question thereafter is whether our directors confirmed that the resignation was consequently accepted on the basis that the agent offered a basis of termination and it was accepted at that point, or, it was not accepted and it was popped back into the agent's court without acceptance.

    If the agent did not subsequently withdraw the offer to terminate, it was within the board's right to accept it at a later point, and this is what they did on Friday.

    His runs from deep in the midfield were awesome pre injury, never quite got back to that level afterwards. I remember going to the reserve game he made his comeback in, 2nd largest crowd of the week.
