It just depends on what this "incubation company" involves. But under all the definitions it could not be construed as a "newco" because the same company will be there before and after a CVA is sorted.

To me it seems like a strange twist on pre-pack. In pre-pack the assets would be split from the "old" company and transferred to the new one, leaving the old company to be liquidated. In his plans he wants to temporarily split the assets from the company, sort out a CVA and then transfer the assets back to the original company. I don't even know if that is possible, but to me it seems that he is trying to find a loophole in the SPL's newco rules.
