The board can't 'accept' this, they can only recommend it to shareholders who can then accept it or refuse ... but it's needs to be 75% who accept.

So if its 75% its fucked then

No way easdales group & Ashley will entertain this

You cant see how enough shareholders would reject losing X amount of money when the share price is almost certain to rise when we return to the SPL? Really?

Nobody needs to sell any shares !

And as you rightly point out the share price will rise when we're back in the top league again.

Exactly !

It's not as if they need to sell their shares, if they can't beat this offer to put money straight into the club they should stand aside and let him in.

Know fuck all about the guy, may not be all he's cracked up to be, but he's coming up with the goods in terms of investment and not pissing around, going media mental, promising the earth before even putting his money on the table. If any of the others are interested then do it quickly. If they want to go alone, if they want to get involved with Sarver, make everything clear. Otherwise these debts are rolling over and over.

It will be many many years before share price gets anywhere close to original ipo price. And during those years many more rights offers and cash injections.

True, but theres losing in investment and then theres losing almost all the investment. That offers still closer to zero than the orginal share price, and will be rejected

Well if he buys out shares then they have to be sold? He wants to buy existing AND new shares

Why would any of the major shareholders vote against this offer?

The share price was down as low as 17p a couple of weeks ago and only started to rise when people started to put their money where their mouths have been for too long.

If his bid is accepted and we become financially viable again the share price will rise again and everybody wins.

The numbers on this are way ahead of anyone else.

20m for 100m new shares.

Then up to 16m to buy existing 80m shares

Plus 6.5m unsecured loan, albeit he will get this back in cash or more likely further shares.

This guy is the first to be genuinely serious and put proper money on the table.

The total valuation of the company at 36m is about right, maybe even high.

Cannot see how this can be refused.

This. Totally agree mate. Sounds like a good deal.

Still undervaluing the company, 25 to 30 million would be a more realistic figure, also every penny he spends goes straight to the club.

I feel this guy could be very good for us but instead of playing a game of cat a mouse with him, just tell him the figure we would expect for a controlling interest, then he either pays it or not.

The £20m is only for 51% or so of the company with another £15m for existing shareholders.

I totally agree with you. The valuation is a touch high and should be accepted.

It's stock market rules.

When proposing a deal like this he must also offer to buy out anybody/everybody at the 20p share price.

He doesn't need anybody to sell, the original deal gives him more than 50% and hence control of the club.

At the end of all this we will be left thinking what if that American guy had bought us instead

At the end of all this no matter who ends up owning and controlling us we all owe the American guy a great deal of gratitude for bringing it all to a head.

IMO the only reason king and the 3bears bought shares was because they seen him coming.
